By using the website after these terms have been made available to you, you agree to comply with them to the extent an enforceable agreement is formed under applicable law. If you do not agree, discontinue use. Nothing in these terms waives rights that cannot lawfully be waived.

This website describes AI and technology advisory, data architecture, systems integration, automation, engineering and related services. Browsing, downloading materials, submitting a form or booking a call does not itself create a client engagement, fiduciary relationship, agency, partnership or obligation to deliver services.

An executed engagement agreement, statement of work, data processing agreement or other written contract governs the relevant services, deliverables, fees, confidentiality, ownership, service levels and responsibilities. If these website terms conflict with such a contract, the contract controls for the services it covers. These terms do not amend an existing client contract.

You may access the public website and download or print reasonable extracts for lawful personal or internal business evaluation, while preserving copyright and other proprietary notices. This limited permission does not transfer ownership or grant rights to commercialize our content, software, methods, branding or other intellectual property.

You must not use the website to commit fraud, impersonate another person, transmit unlawful or infringing content, distribute malware, obtain unauthorized access, bypass security or access restrictions, or interfere with the website or another person's use. Automated extraction that burdens the site, circumvents restrictions or repurposes protected content without permission is prohibited, subject to rights provided by law. Ordinary search-engine indexing of publicly available content remains permitted subject to our published technical instructions.

You must not imply our endorsement, use our branding in a misleading way, or reproduce substantial parts of the website for competing or commercial distribution without permission.

Website text, visual design, graphics, presentations, frameworks, downloadable materials and other content are owned by Coigne Capital Inc. or used under licence, unless otherwise identified. Synexum Labs and associated names and branding may be protected by trademark or other rights. Third-party marks remain the property of their respective owners; their appearance does not necessarily establish sponsorship or endorsement.

Rights in client deliverables, pre-existing technology, open-source components and third-party software are determined by their applicable agreements and licences. No assignment of client project intellectual property occurs through these website terms.

Provide accurate information and submit only material you have authority to share. You retain your rights in submitted material. You permit us to use it only as reasonably needed to respond to your request and pursue an authorized discussion, subject to our Privacy notice and any applicable confidentiality agreement.

Public forms and ordinary email are not designated channels for passwords, source code repositories, regulated datasets, trade secrets or other highly sensitive information. Contact us first to establish an appropriate channel and any required confidentiality terms. An unsolicited submission does not automatically create a non-disclosure agreement. This does not remove privacy obligations or duties of confidentiality that otherwise arise under law or an existing agreement.

Website content is general information about our capabilities and approach. It does not replace an assessment of your organization's systems, data, risks or requirements. Content discussing finance, healthcare, legal compliance or regulation is not individualized investment, medical, legal or tax advice. Obtain advice from an appropriately qualified professional where required.

Case studies, metrics, estimates, demonstrations and examples must be read in their stated context. A result achieved in one setting does not guarantee the same result elsewhere. Project performance depends on factors such as data quality, integration constraints, adoption, third-party systems and the agreed scope. Review them before using a feature or providing information. We do not control independent third-party content and cannot guarantee its availability or accuracy. This provision does not exclude responsibility imposed on us by law or by an applicable agreement.

We may maintain, update, restrict or discontinue website features for operational, security or legal reasons. We may restrict abusive or unlawful use. We do not promise uninterrupted public website availability, compatibility with every device or error-free content. Where appropriate, we will take reasonable steps to communicate material interruptions.

Website maintenance or suspension does not cancel obligations under a separate client agreement, remove statutory rights or prevent you from using the contact channels provided below.

To the extent permitted by law, the public website and general materials are provided as available, without additional warranties concerning their fitness for a specific project, uninterrupted availability or freedom from errors. Any express warranty or commitment in an applicable written service agreement remains effective.

To the extent permitted by law, Coigne Capital Inc. is not liable under these website terms for indirect or consequential economic losses, including lost profits or business opportunities, arising from use of the public website. Liability for contracted services is governed by the relevant contract and applicable law.

No exclusion or limitation applies to liability that cannot legally be excluded or limited, including liability for bodily or moral injury, material injury caused by intentional or gross fault, or other protected consumer or statutory claims. These terms do not eliminate obligations relating to personal information. Any unenforceable provision applies only to the extent legally permitted; the remaining valid provisions continue to apply.

Nothing in these terms requires you to waive privacy or accessibility rights.

Subject to mandatory law, these website terms are governed by the laws of Québec and the federal laws of Canada applicable there. Courts with jurisdiction in the judicial district of Montréal, Québec, will hear disputes relating to these terms, unless applicable law entitles a party to another forum. This clause does not restrict access to a regulator, tribunal or remedy provided by mandatory law.

You may contact us to seek an informal resolution, but doing so is not a condition of exercising a legal right. These terms do not require mandatory arbitration or waive participation in a class proceeding.

We may revise these terms prospectively by posting a new version and updating the effective date. Material changes will be brought to your attention where required, and we will obtain further acceptance when necessary. Revisions do not retroactively change accrued rights or a separate signed agreement. No delay in enforcing a provision is a waiver of it.
